These Terms apply when you create an account or use KeepsCounsel.
1. Owner and agreement
KeepsCounsel is owned and operated by Lux Actuaries Management and Holding FZ LLE. In these Terms, “we”, “us”, and “our” mean that firm. By using the service, you agree to these Terms and the Privacy Policy.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into this agreement. You must give accurate account information. You can sign up or sign in with a password or with Google. You must protect your account and tell us if you suspect unauthorised access.
3. The service
KeepsCounsel is a personal knowledge and reflection service. It can turn selected information into a readable knowledge bundle. It can also use relevant knowledge to give an AI response when you ask.
The service can change as we improve it. We can add, remove, or limit features. We can also set reasonable limits for storage, models, credits, or use.
4. AI output
AI output can be wrong, incomplete, or unsuitable. KeepsCounsel does not give medical, mental-health, legal, financial, actuarial, employment, safeguarding, or emergency advice. Check important information. Use a qualified professional when you need professional advice.
KeepsCounsel is not an emergency service. Contact local emergency services if a person is in immediate danger.
5. Your content
You keep your rights in the information and knowledge that you provide. You give us permission to host, copy, change, send, and process that content only as needed to provide, protect, and support the service or meet the law.
You are responsible for the information that you add about other people. Use the service lawfully. Do not use it for surveillance, harassment, discrimination, or automated decisions about another person.
6. Knowledge bundles and security
The hosted service stores versions of your knowledge bundle. We encrypt hosted bundles at rest. The service must decrypt a bundle when it needs to use it for your account. This is not end-to-end encryption.
Review important knowledge changes. Keep your own downloaded copy when download is available. Earlier versions and backups can remain after you change or remove information from the current bundle.
7. AI access and credits
Some plans require you to connect your own AI account. Other plans include managed AI credits. The plan page and checkout page show what your plan includes. Third-party AI services also apply their own terms, limits, and privacy rules.
8. Subscriptions and payment
We show the price, billing period, trial, and included features before you subscribe. Your subscription continues until you cancel it. If a trial applies, payment starts when the trial ends unless you cancel first.
You can manage or cancel your subscription from your account. Payments are not refundable unless the law requires a refund or we state otherwise. You are responsible for applicable taxes and charges.
9. Acceptable use
Do not use KeepsCounsel to break the law, harm another person, invade privacy, upload malicious code, or gain unauthorised access. Do not bypass service limits or disrupt the service. Do not misuse AI services or share or sell access to your account.
10. Our rights
The KeepsCounsel software, design, name, and other service materials belong to us or our licensors. These Terms do not give you ownership of them. You can use the service only as these Terms allow.
11. Suspension and termination
We can limit or suspend access when this is needed for security, non-payment, legal compliance, serious misuse, or a breach of these Terms. You can stop using the service and cancel your subscription at any time. Data handling after termination follows the Privacy Policy.
12. Availability and responsibility
We try to keep the service available and secure, but we do not promise that it will always work or that it will be free from errors. Third-party services can also fail or change.
To the extent that the law permits, we are not responsible for indirect loss, lost profit, or lost opportunity. We are also not responsible for loss caused by AI output, third-party services, or your failure to keep a copy of important data. These Terms do not limit rights or liability that the law does not allow us to limit.
13. Changes and contact
We can update these Terms when the service or the law changes. We will publish the new version and effective date. If a change is important, we will give any notice that the law requires. For support, email support@keepscounsel.com.
